Joint Venture & Strategic Alliances

Our Corporate Finance practice specialises in advising on joint ventures and strategic alliances. As a core
part of our offering, we support investors and entrepreneurs, advising them on structuring, drafting and
negotiating joint venture agreements.
Because we work collaboratively across all our practice groups, we also offer a broad range of
supporting advice in areas such as intellectual property rights and exploitation, regulation and licensing,
antitrust, commercial agreements, real estate, tax, employment and benefits. We have experience in
advising on a wide range of joint venture structures and can advise on the commercial and strategic
issues involved, as well as dealings with local regulators.

Avikele’s Public-Private Partnerships (P3) team provides end-to-end service, not as generalists, but as
counsel with specific experience advising sponsors, financing parties, government agencies, equity
investors and contractors. We are able to evaluate, mitigate and allocate risks affecting our clients from
each of their perspectives. We are able to handle complex transactions involving long-term concessions
for roads, rail networks, airports, ports, higher education facilities, water projects and other
infrastructure globally.
We provide guidance on everything from developing tenders for government authority clients, to
bidding on procurements for project sponsors and their funders, negotiating design-build and operation
and maintenance contracts, to structuring financing arrangements, construction and operational
matters, secondary market acquisitions and disposition, and restructurings.

M & A

Acquisitions and disposals have always been an important strategic option for corporations, financial
institutions and private equity investors. Our clients rely on our advice to help understand and assess
these options and execute their most complex transactions. Our global depth and breadth support our
clients in both their domestic deals and their most complex multi-jurisdictional transactions.
Clients value our innovative approach and high degree of individualized attention. Our goal is to deliver
superior service, earn your trust and build our relationship. Together with our clients, we have been
involved in a number of market "firsts". Our knowledge and experience enable us to devise creative deal
structures, win auctions, design acquisition and disposal programs and implement productive strategies
for acquirers, sellers or acquisition targets.

Project Finance

Large-scale projects are subject to a range of challenges, including: structuring and financing issues;
government regulations; construction, feedstock, offtake and other contractual issues; local law
coordination; and other elements that cross national and international boundaries. Clients rely on us to
help them achieve their most ambitious project goals.
When we work with our clients on these projects, we provide more than just international and, in many
cases, local legal advice. We provide business, strategic and cultural advice in assisting our clients in
structuring, negotiating and documenting the full array of project and financing agreements tailored to
each client's needs and the customs of the local jurisdictions.
